These terms govern your use of giansanteconsulting.com. They are not the terms of any engagement — work we do for clients is governed by a separate signed agreement.

1. Agreement

By using this website you agree to these terms. If you do not agree with them, please do not use the site. This site is operated by Marco Giansante Consulting LLC, trading as MG Consulting ("we", "us"), based in Westchester County, New York.

2. What this website is

This site describes the services we offer and examples of work we have done. It is marketing and general information. It is not an offer, a quote, or a commitment to perform any work, and nothing on it forms a contract.

3. No engagement is created here

Reading this site, emailing us, or submitting the consultation form does not create a client relationship or any professional duty on our part. A relationship begins only when both sides sign a written agreement or statement of work. Until then, nothing you send us is treated as confidential unless we have separately agreed in writing that it is — so please do not send confidential or sensitive material through the form.

4. No advice, and no reliance on results

Content on this site is general information about technology and business process. It is not legal, financial, tax, or other professional advice, and it is not tailored to your situation. Do not act on it without advice specific to your circumstances.

Our case studies describe real projects and real outcomes for specific clients under specific conditions. They are illustrations, not predictions. Results vary with your systems, data, people and constraints, and nothing on this site is a guarantee, warranty, or promise that you will achieve any particular result, saving, or return.

5. Services are governed by a separate agreement

Where we do engage, the terms of that engagement — scope, fees, timelines, ownership of deliverables, confidentiality, warranties and liability — are set out in the signed agreement or statement of work for that project. Those terms govern the work. If anything in them conflicts with these website terms, the signed agreement wins.

6. Intellectual property

The content of this site — text, design, layout, graphics, code and case studies — belongs to us or is used with permission, and is protected by copyright. You may read it, and link to it, and quote short extracts with attribution. You may not copy, republish, or reuse it commercially, or present it as your own, without our written permission. Client names, logos and trade marks mentioned belong to their respective owners.

7. Acceptable use

You agree not to use this site to:

• break any law, or infringe anyone's rights;
• send spam, bulk, or automated submissions through the contact form;
• attempt to gain unauthorised access to the site, its server, or any connected system;
• scrape, harvest, or systematically extract content;
• introduce malware, or interfere with the site's operation for others.

We may block access to anyone doing these things.

8. Availability

We aim to keep the site available but do not promise it will be uninterrupted or error-free. We may change, suspend, or withdraw any part of it at any time without notice.

9. Links to other sites

Where we link to third-party sites, we do so for convenience. We do not control them, do not endorse them, and are not responsible for their content or their privacy practices.

10. Disclaimer of warranties

This site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the information here is complete, current, or free of error.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising from your use of — or inability to use — this site, even if we have been advised such loss is possible.

To the fullest extent permitted by law, our total liability for all claims relating to this website is limited to US$100.

Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify us against claims, losses and reasonable legal costs arising from your misuse of this site or your breach of these terms.

13. Privacy

How we handle information collected through this site is set out in our Privacy Policy, which forms part of these terms.

14. Changes to these terms

We may update these terms. The current version is always the one posted here, with the "last updated" date above. Continuing to use the site after a change means you accept the revised terms.

15. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Westchester County, New York, and you agree to that jurisdiction.

16. Severability

If any provision of these terms is held unenforceable, the rest remains in force.
